StockPulse Referral Scheme – Terms & Conditions

1. Introduction
   This Referral Scheme (“Scheme”) is offered by CPH Insight Ltd (“we”, “us”, “our”), a company registered in England and Wales. By participating in the Scheme, you (“Referrer”) agree to the following terms.
2. Eligibility
   The Scheme is open to individuals aged 18 or over, anywhere in the world, excluding employees of CPH Insight Ltd. There is no requirement to be a current or former user of StockPulse to participate.
3. Referral Process
   Referrals must be made via a direct email introduction to a verifiable representative of a potential B2B customer, copying a member of the CPH Insight Ltd team. We reserve the right to disqualify referrals made through any other channel unless previously agreed in writing.
4. Qualifying Referral
   A “Qualifying Referral” means a referred company that:

• Has not previously been a customer of CPH Insight Ltd;
• Is not currently in discussions with CPH Insight Ltd at the time of the referral; and
• Enters into a paid contract for StockPulse and successfully pays their first quarterly invoice.

5. Reward
   The Referrer will receive a one-time reward based on the number of contracted stores within the customer’s group at the time of contract signing:

• $1,000 USD for customers with fewer than five active stores (or local currency equivalent);
• $5,000 USD for customers with five or more active stores (or local currency equivalent).

The reward will be issued within 30 days of receipt of the new customer’s first quarterly payment. CPH Insight Ltd will determine site count based on contractual scope at the time of onboarding.

6. Payment
   Referrers must provide accurate payment details when requested. Payments may be subject to taxation in your jurisdiction and are your responsibility to declare.
7. Limitations
   There is no limit on the number of referrals an individual may make. However, we reserve the right to reject any referral at our sole discretion, including but not limited to duplicate referrals, fraudulent activity, or abuse of the Scheme.
8. Changes and Termination
   We reserve the right to amend or terminate the Scheme at any time without prior notice. Referrals submitted before the date of change or termination will still be honoured if they meet all qualifying criteria.
9. Governing Law
   This Scheme and any disputes arising from it shall be governed by the laws of England and Wales.
